Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Get UI Flow platform. By creating an account or using our services, you agree to be bound by these Terms.
1. Definitions
- "Service" means the Get UI Flow platform, including the website at getuiflow.com, APIs, and all related tools and features.
- "User" or "you" means any individual or entity that creates an account or uses the Service.
- "Company", "we", "us", or "our" means Get UI Flow.
- "Content" means any data, text, workflows, configurations, or other materials you create, upload, or input into the Service.
- "Effective Date" means the date shown at the top of these Terms.
2. Eligibility
To use the Service, you must:
- Be at least 18 years of age (or the age of majority in your jurisdiction).
- Have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.
- Not be located in, or a resident of, any country subject to comprehensive trade sanctions by the United States, European Union, or United Kingdom.
3. Account Responsibilities
When you create an account, you agree to:
- Provide accurate and complete registration information.
- Keep your login credentials confidential and not share your account with others.
- Notify us immediately at security@getuiflow.com if you suspect unauthorized access to your account.
- Be responsible for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or are used for unauthorized purposes.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation.
- Infringe the intellectual property, privacy, or other rights of third parties.
- Transmit malware, viruses, or other harmful code.
- Attempt to gain unauthorized access to the Service or its infrastructure.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service for any illegal, fraudulent, or deceptive purpose.
- Scrape, crawl, or harvest data from the Service without authorization.
- Reverse engineer, decompile, or disassemble any part of the Service, except as permitted by applicable law.
5. Intellectual Property
Your Content: You retain all ownership rights to the Content you create using the Service, including workflows, configurations, and data. We do not claim ownership over your Content.
Our Platform: The Service, including its design, code, features, documentation, and branding, is owned by Get UI Flow and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.
License to Operate: You grant us a limited, non-exclusive license to host, process, and display your Content solely for the purpose of providing the Service to you.
6. Payment & Billing
Get UI Flow currently operates on an enterprise pricing model. Specific pricing terms will be established through individual agreements with customers. When payment terms are in effect:
- Fees are as stated in your service agreement.
- All fees are exclusive of applicable taxes unless otherwise stated.
- Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
- We will provide at least 30 days' notice before any pricing changes that affect your existing agreement.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- Cap on liability: Our total aggregate liability to you for any and all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total fees you paid to us in the 12 months preceding the event giving rise to the claim, or (b) one hundred US dollars (USD $100).
- Exclusion of damages: In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, regardless of the theory of liability.
These limitations apply even if we have been advised of the possibility of such damages and even if a remedy fails of its essential purpose.
8. Indemnification
You agree to indemnify, defend, and hold harmless Get UI Flow and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising from:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any applicable law or the rights of any third party.
- Your Content, including any claim that your Content infringes the rights of a third party.
9. Dispute Resolution
Governing law: These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
Informal resolution: Before initiating any formal proceedings, you agree to contact us at legal@getuiflow.com and attempt to resolve the dispute informally for at least 30 days.
Jurisdiction: If informal resolution fails, any dispute shall be resolved in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.
10. GDPR Carve-Out
Where the General Data Protection Regulation (GDPR) or similar data protection laws apply to you, nothing in these Terms shall be construed to limit your statutory rights under those laws. In particular:
- Your data protection rights as described in our Privacy Policy remain fully in effect.
- The limitation of liability in Section 7 does not limit our obligations under GDPR regarding personal data.
- You may exercise your data subject rights at any time, regardless of these Terms.
11. Termination
By you: You may terminate your account at any time by using the account deletion feature or by emailing privacy@getuiflow.com. Upon termination, we will delete your account data in accordance with our data retention policy.
By us: We may suspend or terminate your access to the Service if you violate these Terms, if required by law, or if we discontinue the Service. We will provide reasonable notice when practicable.
Effect of termination: Sections that by their nature should survive (including but not limited to Intellectual Property, Limitation of Liability, Indemnification, and Dispute Resolution) will continue in effect after termination.
12. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will provide at least 30 days' advance notice by posting a notice on our website and, if you have an account, by sending an email to the address associated with your account.
If you disagree with the updated Terms, you may terminate your account before they take effect. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance.
13. General Provisions
- Entire agreement: These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Get UI Flow.
- Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force.
- Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets.
- Force majeure: Neither party shall be liable for delays or failures caused by events beyond reasonable control.
